1. Service description

Nudgey is a money-companion Android app that learns how your money moves from your phone, on-device — nothing leaves it — surfaces insights, and offers an optional chat experience powered by an AI ("Mode 2 / AI Cards"). It is provided by Riverbank Solutions Ltd, a company registered in Kenya, under the trade name Nudgey.

2. Eligibility

You must be 18 or older, a resident of Kenya, and have legal capacity to enter into contracts under Kenyan law to use Nudgey.

3. Account + sign-in

We use Twilio Verify to confirm your phone number at sign-in. You must provide your real, personally-controlled mobile number. Sharing accounts is not permitted. You are responsible for activity that occurs under your account.

4. Premium subscription

Nudgey offers a Premium tier ("AI Cards") at KSh 200 per month.

• Payment: Via M-Pesa STK push, processed by ZED Kenya. You authorize each charge via M-Pesa PIN on your phone.
• Auto-renewal: Yes, monthly, until you cancel.
• Cancellation: Via the in-app Premium settings. Cancellation takes effect at the end of the current billing period; you retain Premium access until then.
• Refunds: Pro-rata refunds are not offered. Cancel before the next billing date to avoid the next charge.
• Price changes: We may change the Premium price with at least 14 days' notice via in-app notification. Continued use after the change indicates acceptance; otherwise cancel before the new price takes effect.

5. Acceptable use

You agree not to:

• Use Nudgey for any illegal purpose.
• Attempt to circumvent the privacy boundary (e.g., feed Nudgey someone else's message or financial data, or impersonate another person's phone number).
• Reverse-engineer the app, its on-device LLM, or its cloud endpoints.
• Use Nudgey on behalf of a non-Kenyan financial institution without our written consent.
• Probe, scan, or test the security of our infrastructure without prior written authorization.

6. Intellectual property

Nudgey, the Nudgey name, the trade dress, and all in-app voice content + visual design are owned by Riverbank Solutions Ltd. We grant you a non-exclusive, non-transferable, revocable licence to use the app for personal, non-commercial purposes. You retain ownership of your data (the money activity Nudgey reads from your phone, your insights, your chat messages).

7. Disclaimer + limitation of liability

• Nudgey provides money insights, NOT financial advice. We do not advise you to spend, save, or invest in any particular way. Any decision you make based on a Nudgey insight is your own.
• We make no warranty that Nudgey will catch every financial event, every bank, or every transaction type. What Nudgey can learn from your phone on-device is best-effort and depends on senders, message formats, and your device.
• To the maximum extent permitted by Kenyan law, our aggregate liability to you under or in connection with these terms is limited to the amount you paid Riverbank Solutions Ltd for Nudgey in the 12 months preceding the claim.
• Nothing in these terms limits liability that cannot be limited under Kenyan law.

8. Termination

We may suspend or terminate your account if you breach these terms or applicable law. You may terminate your account at any time via the in-app delete-account flow; deletion triggers the DSAR-erasure described in the Privacy Policy.

9. Governing law + jurisdiction

These terms are governed by the laws of the Republic of Kenya. Disputes arising out of or in connection with these terms are subject to the exclusive jurisdiction of the Kenyan courts.

10. Changes

We may amend these terms. Material changes will be notified via in-app notification with at least 14 days' notice. Continued use after a change takes effect indicates acceptance; if you do not accept, terminate your account before the change takes effect.
