These are the rules under which Nudgey is offered. We've tried to keep them in plain language. The short version is at the top of each section. The legal version is right below it.

1. Accepting these terms.

These Terms of Service ("Terms") form a binding agreement between you and Riverbank Solutions Ltd, a company registered in Kenya (registration CPR/2010/18968), which owns and operates the Nudgey mobile app and the website at thenudgey.com. By creating an account, installing the Nudgey app, or using the website, you agree to these Terms.

If you don't agree to these Terms, please don't use Nudgey.

2. What Nudgey is.

Nudgey is an Android app that reads the M-Pesa and bank SMS messages on your phone, builds a private picture of your money, and surfaces patterns you might find useful — recurring bills, weekly cash flow, unusual spends, hidden subscriptions, monthly recaps. It also gives you a chat thread ("Mode 2") where you can ask Nudgey questions about your money. The service is delivered through the Android app, optional emails, and the in-app chat thread.

Nudgey processes your SMS and the transactions inside them on your device. We don't see any of it. See our Privacy Policy for the full data picture.

3. Who can use it.

Nudgey is currently offered in Kenya. We may expand to other countries — these Terms will be updated when we do.

In plain language

Nudgey is currently in pre-launch. Premium features (including the monthly Period Story narrative and unlimited Sunday Drops) will be added in a future version of the service, on a paid subscription basis.

When premium is offered, these Terms will be updated to describe pricing, billing, refunds, and cancellation rules. You'll have the option to subscribe or to continue using the free tier; we won't auto-enroll anyone.

No subscription is required to use Nudgey at this stage. If and when premium ships, payments will be processed by our payment partner ZED; details of that processing relationship are described in our Privacy Policy, section 4.

7. Intellectual property.

The Nudgey name, logo, wordmark, brand voice, the Nudgey character, all copy on the website and in the app, the visual design language, and all underlying source code are owned by Riverbank Solutions Ltd or its licensors. You may not use Nudgey's name or branding without our written permission, except to fairly reference the product (e.g., "I use Nudgey to track my money") or to share screenshots of insights generated for your own account.

The insights Nudgey generates from your data (Sunday Drops, Period Stories, Statement of Position, money-out network diagrams, recurring-bill profiles, ask-loop questions, pre-spend pause cards) are produced for you and remain useful to you — you can save them, share them, or screenshot them freely. The underlying templates and the engine that produces them are Nudgey's IP.

8. No financial advice (important).

Nudgey is not a licensed financial advisor, money manager, tax advisor, accountant, bank, or fiduciary.

Nudgey surfaces patterns in your SMS-recorded money activity. The insights, nudges, ask-loop questions, period-story narratives, Mode 2 chat replies, and any other output Nudgey produces are informational only. They do not constitute financial, tax, legal, investment, or any other professional advice.

Any decision you make about your money — whether to spend, save, borrow, invest, pay back a debt, take out a loan, switch banks, open or close accounts, claim a tax deduction, or anything else — is your decision alone. We strongly recommend consulting a licensed professional before making material financial decisions.

Nudgey reads SMS messages and tries to extract transactions. SMS formats change. Banks introduce new sender IDs. Our on-device AI model is good but not perfect. We don't guarantee that every transaction is captured, classified correctly, or interpreted accurately. Your real source of truth is always your bank or M-Pesa statement, not Nudgey.

Specifically: Nudgey does not move your money, does not have the ability to spend on your behalf, does not place orders with any bank, does not transmit instructions to M-Pesa, and does not authorise transactions. The pre-spend pause is a display, not an interruption — your bank or M-Pesa always carries out the transaction you've initiated.

10. Termination.

You can terminate your use of Nudgey at any time by deleting your account from inside the app (Profile → Account → Delete my account) or by emailing hello@thenudgey.com. Account deletion runs in two parts — we delete the account-level data we hold (after a 7-day cooling-off period), and uninstalling the app removes everything stored on your device. See our Privacy Policy, section 7, for retention details.

We can terminate or suspend your access to Nudgey if you materially breach these Terms — for example, by using the app for fraud, by trying to reverse-engineer the on-device AI model, or by using Mode 2 chat for harassment or abuse. We'll give you advance notice and an opportunity to fix the breach where the circumstances allow it. For severe or repeat breaches, termination may be immediate.

Surviving sections — limitations of liability (section 9), intellectual property (section 7), governing law (section 11), and any rights or obligations that by their nature should survive termination — will continue to apply after termination.

11. Governing law and disputes.

These Terms are governed by the laws of the Republic of Kenya. The courts of Kenya have exclusive jurisdiction over any dispute arising under or in connection with these Terms, except that either party may seek injunctive relief in any competent court to protect intellectual property rights.

Before going to court, we ask that you first contact us at hello@thenudgey.com so we can try to resolve the matter informally. Most issues are easier solved by email than by litigation, and we genuinely want to make things right where we can.

12. Changes to these terms.

We may update these Terms from time to time — when we add new features, when laws change, when we add a sub-processor, or when we launch Premium. We'll update the "Last updated" date and version number at the top of this page on every revision, and for material changes (anything that meaningfully affects your rights or obligations) we'll also send a notice through the in-app conversation and via email (if you've enabled email) at least 30 days before the change takes effect.

If you don't agree with a change, you can stop using Nudgey and delete your account at any time before the change takes effect. Continuing to use Nudgey after the effective date means you've accepted the updated Terms.
